1. Introduction

Welcome to Apiario, a brand of Hummus Sapiens Lda, a Portuguese-based company with Tax ID PT518022072 ("Apiario," "we," "our," or "us").

These Terms of Service ("Terms") set forth the terms and conditions governing your access to and use of our website, apiario.co, and services, including our marketplace that facilitates professional introductions between Businesses seeking strategic connections and Connectors who facilitate those introductions.

By accessing or using our services, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not accept these Terms, you must refrain from using Apiario.

2. Definitions

• Apiario – The online marketplace operated by Hummus Sapiens Lda.
• Businesses – Companies that use Apiario to request introductions to relevant prospects.
• Connectors – Individuals who introduce Businesses to potential prospects in exchange for compensation upon a successful meeting.
• Users – Any individual or entity utilizing Apiario’s services, including Businesses and Connectors.
• Introductions – Initial connections facilitated by Connectors as a step toward arranging a Meeting.
• Meetings – Verified discussions between Businesses and prospects, which serve as the basis for Connector compensation.

3. Eligibility

To use Apiario’s services, you must:

• Be at least 18 years old.
• Provide accurate, complete, and current information.
• Comply with these Terms and all applicable laws and regulations.
• Submit an application and successfully complete an approval process, including a compliance questionnaire, before being authorized to use the platform as a Connector or Business.

Apiario reserves the right to suspend or terminate any account that does not meet these requirements.

4. Use of the Platform

a) Businesses

• Businesses may submit introduction requests via Apiario.
• Apiario reserves the right to decline service to any Business that does not meet our standards, including but not limited to insufficient market credibility, an unclear value proposition, or any other factor we determine makes the Business unsuitable for Connector introductions.
• Apiario is committed to facilitating valuable introductions that result in successful Meetings. If Apiario fails to deliver an agreed-upon number of successful Meetings, Businesses will receive credits for future introductions.
• Businesses must pay all agreed-upon fees in advance, prior to an introduction being facilitated.

b) Connectors

• Connectors may accept or decline introduction requests at their discretion.
• Connectors must ensure that they have a legitimate, professional connection with the proposed introduction.
• Connectors will only be compensated once a successful Meeting has taken place, with payments processed via Apiario and subject to applicable fees.

5. Payments & Fees

• Businesses agree to pay the specified fee per successful Meeting.
• Apiario charges a service fee on all transactions.
• Payments are securely processed via third-party payment providers.
• Apiario serves as the neutral moderator for all payment disputes and maintains a structured dispute resolution process to ensure fair outcomes.

6. Off-Platform Engagements

If a Connector and a Business engage in any formal contractual relationship outside of the Apiario platform within twelve (12) months after an initial match has been made through Apiario, the Business agrees to compensate Apiario with a fee equal to 12% of the total contract value. This includes, but is not limited to, employment agreements, consulting contracts, advisory roles, and any other professional engagements resulting from an introduction facilitated through Apiario. The Business is responsible for notifying Apiario of such engagements and ensuring timely payment of the applicable fee.

7. Confidentiality

• Most information shared through the platform is publicly available and non-confidential.
• If a Business or Connector voluntarily shares confidential information, they do so at their sole discretion and risk.
• Unauthorized disclosure of confidential information may result in account suspension or termination.

8. Prohibited Conduct

Users of Apiario must not:

• Provide false, misleading, or deceptive information.
• Use Apiario’s services for spam, unauthorized marketing, or fraudulent activities.
• Engage in any conduct that violates applicable laws or these Terms.

9. Disclaimers & Limitation of Liability

• Apiario provides a marketplace for introductions and Meetings but does not guarantee any business outcome, contract, or commercial transaction resulting from the introductions facilitated.
• To the fullest extent permitted by law, Apiario disclaims liability for any direct, indirect, incidental, or consequential damages arising from platform use.
• Users assume all risks associated with introductions and Meetings.

10. Suspension & Termination

Apiario reserves the right to suspend or terminate a User’s access to the platform under the following conditions:

• Violation of these Terms or applicable laws.
• Engagement in fraudulent, unethical, or abusive behavior.
• Legal or regulatory obligations requiring termination of services.

11. Amendments to These Terms

Apiario may modify these Terms at any time. We will notify Users of material changes through the platform or via email. Continued use of Apiario after modifications constitutes acceptance of the updated Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of Portugal. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal.
